Welcome to Qubi (the “Company,” “Qubi,” “we,” “our,” or “us”).
These Terms & Conditions (the “Terms”) govern your access to and use of our website located at https://qubicash.com and any related pages, applications, products, reward programs, marketing campaigns, or services we operate (collectively, the “Service”).

By accessing or using the Service, you agree to be legally bound by these Terms.
If you do not agree with these Terms, you must not access or use the Service.

1. Who we are

Qubi is a reward and engagement platform. We help brands send incentives, cashback, and rewards directly to customer wallets in order to drive guaranteed in-store or in-location visits.

We are not a bank, we are not a payment processor, and we do not promise financial returns. We simply facilitate promotional offers between participating merchants and end users.

2. Eligibility

By using the Service, you confirm that:

  1. You are at least 18 years old (or the age of legal majority in your jurisdiction);

  2. You have the authority to agree to these Terms;

  3. Your use of the Service is not prohibited by any applicable law, regulation, or sanction list.

If you are using the Service on behalf of a business (for example, as a merchant partner), you confirm that you have authority to bind that business to these Terms.

3. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Changes become effective when posted, unless a later effective date is stated.

If you continue using the Service after the Terms change, that means you accept the updated Terms.

If you do not agree to the new Terms, you must stop using the Service.

4. Account registration and security

Certain parts of the Service may require you to create an account or connect a digital wallet.

4.1 Accuracy of information
You agree to provide accurate, current, and complete information during sign-up and to keep that information updated.

4.2 Account security
You are responsible for maintaining the confidentiality of your login credentials, wallet credentials, and any codes or links we provide.
You are fully responsible for all activity that occurs under your account, unless it is caused by Qubi’s direct, proven negligence or misconduct.

4.3 Notification of unauthorized access
If you believe someone has accessed your account without permission, you must notify us immediately at support@qubicash.com.

5. Rewards, offers, and merchant promotions

5.1 Nature of rewards
Through the Service, you may receive access to promotional rewards, cashback, discounts, store credit, or similar incentives (collectively, “Rewards”) offered by participating merchants (“Merchants”).

5.2 No guarantee of availability
Rewards are subject to availability, may be limited in quantity, may expire, and may be modified or withdrawn at any time by us or by the Merchant.
We do not guarantee that any particular Reward will always be available, valid, or honored.

5.3 Redemption conditions
Each Reward may include specific terms such as minimum spend, eligible location(s), valid dates, or usage limits per customer.
By attempting to redeem a Reward, you agree to those specific terms.

5.4 No cash value unless explicitly stated
Unless expressly stated, Rewards have no cash value, are not legal tender, and cannot be exchanged for money.

5.5 Merchant responsibility
Merchants are solely responsible for the products, services, pricing, quality, experience, safety, and legal compliance of anything you purchase or receive from them.
Qubi is not responsible for Merchant behavior, Merchant staff conduct, product safety, or service quality.

We do not guarantee that any Merchant will remain in business, honor a promotion, or comply with consumer protection law in your jurisdiction.

6. Acceptable use

You agree that you will NOT:

  • Use the Service for any unlawful purpose;

  • Attempt to hack, disrupt, overload, reverse engineer, or interfere with the Service;

  • Use any bot, scraper, crawler, or automated system to extract data without our written permission;

  • Pretend to be someone else, misrepresent your identity, or provide fraudulent information;

  • Attempt to redeem Rewards in a way that is abusive, manipulated, duplicated, resold, or otherwise against the stated terms of that Reward.

We may suspend or terminate your access (with or without notice) if we believe you violated these Terms or applicable law.

7. Intellectual property

7.1 Our content
All content on the Service — including but not limited to the Qubi name, logos, branding, text, copy, graphics, UI design, icons, images, videos, code, data, and other materials (the “Qubi Content”) — is owned by or licensed to Qubi and is protected by copyright, trademark, trade dress, database rights, and other intellectual property laws.

Except for the limited right to access and use the Service according to these Terms, you do not acquire any rights, title, or interest in or to the Qubi Content.

You may not copy, reproduce, modify, translate, publish, broadcast, distribute, display, license, create derivative works from, or exploit the Qubi Content without our prior written consent.

7.2 Your content / submissions
If you submit feedback, suggestions, ideas, feature requests, or other materials to us (“Feedback”), you grant Qubi an unlimited, worldwide, perpetual, irrevocable, royalty-free license to use, copy, modify, publish, and commercialize that Feedback without compensation to you.

You confirm that the Feedback is your own or that you have the right to give it to us.

8. Privacy & data

Our use of personal data (for example: device info, cookies, location data, marketing attribution data, wallet or account identifiers, and contact information you provide) is described in our Privacy Policy.

By using the Service, you agree that Qubi may collect, process, store, share, and use your data as described in the Privacy Policy.

If required under applicable law, you may have the right to request access to, correction of, or deletion of your personal data. Instructions for doing so are provided in the Privacy Policy.

9. Third-party services and links

The Service may include links to third-party websites, apps, merchants, payment providers, or other services that we do not own or control (“Third-Party Services”).

We do not endorse, monitor, or control these Third-Party Services, and we are not responsible for:

  • Their content;

  • Their policies (including privacy or security);

  • Their products or services;

  • Any loss or damage arising from your use of them.

If you engage with a Third-Party Service, you do so at your own risk and you may be subject to that third party’s terms and privacy policies.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available.”

Without limiting the generality of the above, we do not represent or warrant that:

  • The Service will be uninterrupted, secure, or error-free;

  • Any Reward will be honored by a Merchant;

  • Any Reward, promotion, or discount will meet your expectations;

  • The information on the Service is accurate, complete, or up to date;

  • We will correct all defects or errors.

Your use of the Service is at your own risk.
You are solely responsible for any decisions you make based on information or offers you see on the Service.

Some jurisdictions do not allow certain warranty disclaimers. If those laws apply to you, some of the above may not apply.

11. Limitation of liability

To the fullest extent permitted by law, Qubi and its owners, directors, officers, employees, contractors, partners, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, personal injury, property damage, or legal claims arising out of or in connection with:

  • Your access to or use of (or inability to access or use) the Service;

  • Any Reward, offer, or promotion, including redemption or attempted redemption;

  • Any interaction between you and a Merchant;

  • Any unauthorized access, hacking, or alteration of your account or data;

  • Statements or conduct of any third party.

In any case, to the extent we are found liable, our total cumulative liability to you for all claims relating to the Service will not exceed the greater of:

  1. The amount you paid to us (if any) in the 3 months immediately before the event giving rise to the claim; or

  2. USD $100 (one hundred United States dollars).

Some jurisdictions do not allow limitations of liability for certain damages. If those laws apply to you, parts of this section may not apply.

12. Indemnification

You agree to defend, indemnify, and hold harmless Qubi and its owners, directors, officers, employees, contractors, partners, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of the Service;

  • Your violation of these Terms;

  • Your violation of any applicable law or regulation;

  • Your interaction with any Merchant or redemption of any Reward;

  • Content or information you provide to us.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.

13. Suspension and termination

We may suspend or terminate your access to the Service — temporarily or permanently — at any time, with or without notice, if:

  • We believe you violated these Terms or applicable law;

  • We discontinue or materially change the Service;

  • We are required to do so by law or by a governmental authority;

  • It is necessary to protect our business, other users, or the integrity of the platform.

You may stop using the Service at any time.
If you wish to request closure or deletion of your account or data, please contact us at support@qubicash.com. Data handling is subject to the Privacy Policy and applicable law.

Please note: if your access ends, certain obligations survive, including Sections 7 (Intellectual property), 10 (Disclaimer of warranties), 11 (Limitation of liability), 12 (Indemnification), 15 (Governing law & dispute resolution), and 16 (Miscellaneous).

14. Compliance with laws

You agree that you will comply with all applicable local, state, federal, national, and international laws, rules, and regulations when using the Service.
This includes (where relevant) marketing rules, anti-spam rules, promotional disclosure requirements, consumer protection laws, and any tax obligations connected to receiving or using Rewards.

15. Governing law and dispute resolution

15.1 Governing law
These Terms and any dispute arising out of or relating to them, the Service, or any Reward shall be governed by and interpreted in accordance with the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates, without regard to conflict-of-law principles.

If your local law does not allow UAE law to apply, then the governing law will be the law of your place of residence, but only to the minimum extent required.

15.2 Dispute resolution / arbitration
Before taking formal legal action, you agree to first contact us at support@qubicash.com and give us a reasonable opportunity (30 days) to resolve the issue informally.

If we cannot resolve it informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be finally settled by confidential, binding arbitration in Dubai, UAE, conducted in English, by a single arbitrator knowledgeable in commercial / technology matters.

You and Qubi both waive the right to a jury trial or class action to the maximum extent permitted by law.

If binding arbitration is not permitted in your jurisdiction for the specific type of claim, then that claim will instead be brought exclusively in the courts of Dubai, UAE, and you consent to their jurisdiction.

16. Miscellaneous

16.1 Entire agreement
These Terms constitute the entire agreement between you and Qubi regarding your use of the Service and supersede any prior agreements, understandings, or communications (written or oral) about the same subject.

16.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

16.3 No waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment
You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, sale of assets, restructuring, or by operation of law.

16.5 Language
These Terms are written in English. If we provide any translation, it is for convenience only. The English version controls.
